Welcome to TVP Institute (“TVPi”), the online platform that provides certifications and professional development for business professionals in the legal industry. These Terms of Service (“Terms”) govern your access and use of our website, products, and services (collectively, the “Services”). By using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not use the Services.
Eligibility and Registration
To use the Services, you must be at least 18 years old and have the legal capacity to enter into a binding contract. You may need to register for an account and provide certain personal information, such as your name, email address, and payment details. You agree to provide accurate and complete information and to keep your account updated and secure. You are responsible for any activity that occurs under your account and for protecting your credentials. You may not share your account with anyone else or use someone else’s account without their permission. You may not use the Services for any unlawful, fraudulent, or abusive purpose, or in any way that violates the rights of others or interferes with the operation of the Services.
Services and Fees
We offer various certifications, accreditations, cohorts, courses, and member resources for business professionals in the legal industry. You can access the Services through our website, where you can view content, participate in sessions, take assessments, and earn certificates. You can also access additional features and benefits by subscribing to one of our plans. The fees and features of each plan are displayed on our website and may vary depending on your location, currency, and payment method. We reserve the right to change the fees and features of the Services at any time, with or without notice, subject to applicable law.
Subscription and Renewal
When you subscribe to one of our plans, you agree to pay the applicable fees in advance for the selected term, which may be monthly, quarterly, or annually. Your subscription will automatically renew at the end of each term, unless you cancel it before the renewal date. You can cancel at any time by contacting our customer support. If you cancel, you will still have access to the Services until the end of your current term, but you will not receive a refund or credit for any unused portion of your fees. If you upgrade your plan, you will be charged the difference between the new and old fees, and your new term will start from the date of the upgrade. If you downgrade your plan, you will not receive a refund or credit for any unused portion of your old fees, and your new term will start from the date of the downgrade.
Payment and Billing
You authorize us to charge your payment method for the fees and taxes applicable to your subscription and any other purchases you make through the Services. You are responsible for keeping your payment information valid and current. If your payment method fails or is declined, we may suspend or terminate your access to the Services, and you may incur additional fees or charges. We use third-party payment processors to process your payments, and you agree to comply with their terms and policies. We may also offer you the option to pay by invoice, in which case you agree to pay the invoice within the specified time and manner.
Content and Intellectual Property
All content, materials, and information provided by us through the Services — including texts, images, videos, logos, trademarks, and certificates — are our property or the property of our licensors, and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal and non-commercial purposes, subject to these Terms and any additional terms or restrictions that may apply to specific content or features. You may not copy, modify, distribute, sell, rent, lease, sublicense, or otherwise exploit the Services or any part of them, without our prior written consent.
You retain ownership of any content, materials, or information that you submit, post, or upload to the Services, such as comments, feedback, or reviews. However, by doing so, you grant us a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use, reproduce, modify, adapt, publish, distribute, and display your content, in whole or in part, for any purpose related to the Services, including for marketing, promotion, or improvement. You represent and warrant that you have the right and authority to grant us this license, and that your content does not violate any laws, rules, regulations, or rights of others. You are solely responsible for your content and the consequences of posting or sharing it.
Disclaimer and Limitation of Liability
The Services are provided “as is” and “as available,” without any warranties, express or implied, of any kind, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, security, or availability. We do not guarantee that the Services will meet your expectations, requirements, or needs, or that they will be uninterrupted, error-free, virus-free, or timely. We do not warrant that the Services or the certificates will be recognized, accepted, or endorsed by any third-party, such as employers, institutions, or authorities. You use the Services at your own risk and discretion.
To the fullest extent permitted by law, we and our affiliates, directors, officers, employees, agents, partners, and licensors are not liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, losses, or expenses, arising out of or in connection with your use of or inability to use the Services, even if we have been advised of the possibility of such damages. In no event shall our total liability to you for all claims exceed the amount paid by you for the Services in the 12 months preceding the event giving rise to the liability, or $100, whichever is greater.
Indemnification
You agree to indemnify, defend, and hold harmless us and our affiliates, directors, officers, employees, agents, partners, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses, including reasonable attorney’s fees, arising out of or relating to your use of the Services, your content, your breach of these Terms, or your violation of any laws, rules, regulations, or rights of others.
Termination
We may terminate or suspend your access to the Services, in whole or in part, at any time, with or without cause, with or without notice, and without liability to you, if we believe that you have violated these Terms, our Privacy Policy, or any applicable laws, or if we deem it necessary for the protection or operation of the Services. Upon termination, your account, subscription, and license to use the Services will cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to the disclaimer, limitation of liability, indemnification, and governing law sections.
Governing Law and Dispute Resolution
These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your content, shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You and we waive any right to a jury trial or to participate in a class action or representative proceeding. Any claim or cause of action must be brought within one year after such claim or cause of action arose, or otherwise be forever barred.
Changes and Updates
We may change or update these Terms at any time, in our sole discretion, and we will notify you of any material changes by posting the revised Terms on our website or by sending you an email or other communication. Your continued use of the Services after such notice constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services and cancel your subscription.
Privacy Policy
TVP Institute respects your privacy and is committed to protecting your personal information. We collect personal information that you voluntarily provide to us when you register, subscribe, purchase, contact us, or otherwise interact with the Services — such as your name, email address, organization, role, and payment details. We also collect information that is automatically generated when you use the Services (IP address, device and browser type, pages viewed, links clicked) and may receive information from third-party sources such as payment processors and analytics providers.
We use your personal information to provide and improve the Services; personalize your experience; communicate with you about your account, subscription, and inquiries; process payments and prevent fraud; market and promote relevant offerings with your consent or as permitted by law; analyze usage of the Services; protect the security and integrity of our systems; and comply with our legal obligations. We may share your personal information with our service providers (hosting, payments, analytics, support), business partners, other users when you choose to share content, and with law enforcement or regulators where required by law.
